1. Acceptance of Terms

By accessing and using NugaBest CRM ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use the Service.

2. Description of Service

NugaBest CRM is a customer relationship management platform designed to help businesses manage customer information, track visits, schedule appointments, manage subscriptions, and analyze customer engagement. The Service is provided on a subscription basis.

3. User Accounts

To use the Service, you must:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Promptly update your account information if it changes
  • Accept all responsibility for activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for safeguarding your password and recovery codes. Do not share your credentials with anyone else.

4. User Responsibilities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate any third-party rights, including privacy rights
  • Upload or transmit viruses or malicious code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated scripts or bots to access the Service
  • Reverse engineer or attempt to extract the source code of the Service

5. Data Ownership and Privacy

You retain all rights to the customer data you input into the Service. We will not use your data for any purpose other than providing the Service to you. Our handling of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Specifically:

  • Full Ownership: You own all customer data (visitors, visits, purchases, subscriptions) you enter into your showroom
  • Data Isolation: Your showroom data is isolated from other showrooms on the platform
  • Limited Admin Access: Platform administrators have access only to basic account information and location data necessary for platform operations
  • No Unauthorized Viewing: Your business metrics are not visible to platform administrators without your explicit permission
  • Support Access: Administrative access to your showroom data for technical support requires your consent
  • Export Rights: You can export your complete data at any time using the Export function
  • Deletion Rights: You can request deletion of your showroom and all associated data

6. Subscription and Payment

Access to certain features of the Service may require a paid subscription. Subscription fees, billing cycles, and payment terms will be communicated to you at the time of registration. You agree to pay all applicable fees.

7. Service Availability

While we strive to provide continuous access to the Service, we do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems that could lead to service interruptions, delays, or errors. We will make reasonable efforts to minimize downtime and notify you of planned maintenance.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by NugaBest and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Your customer data remains your property.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may export your data before termination.

10. Limitation of Liability

To the maximum extent permitted by law, NugaBest CRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Indemnification

You agree to indemnify and hold harmless NugaBest CRM and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Material changes will be communicated via email or in-app notification. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NugaBest operates, without regard to its conflict of law provisions.
